FlipReply is an independent productivity software suite. It is not affiliated with, maintained by, authorized by, sponsored by, or endorsed by OLX Global B.V., Prosus, Naspers, or any of their regional affiliates. 'OLX' is a registered trademark of its respective trademark holders.

1. Agreement to Terms

By downloading, installing, accessing, or using the FlipReply Chrome Extension, Web Application, or any related services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not install or use the Service.

2. Description of the Service

FlipReply provides an assistive browser interface, AI suggestion generator, and centralized CRM synchronization tool designed to help independent sellers manage communication with prospective buyers on classified platforms. The Service acts as a user-side assistive utility within your authenticated browser environment.

3. User Responsibilities & Acceptable Use

As a user of FlipReply, you agree that you will not:

  • Use the Service to transmit spam, unsolicited commercial advertisements, harassment, or abusive content to prospective buyers.
  • List illegal, counterfeit, fraudulent, or hazardous items.
  • Mislead or defraud buyers regarding item conditions, pricing, or warranties.
  • Attempt to reverse engineer, decompile, or tamper with the proprietary algorithms or security infrastructure of the Service.
  • Violate any applicable national, state, or municipal consumer protection or electronic commerce regulations.

4. AI-Generated Output & Human In The Loop

While FlipReply utilizes advanced Large Language Models and Retrieval-Augmented Generation (RAG) to propose accurate negotiation responses, all replies and agreements made with buyers remain the sole responsibility of the seller.

You acknowledge that AI models can occasionally produce unintended text or inaccuracies. You are responsible for reviewing, confirming, or modifying suggested messages before dispatch.

5. Subscription Plans, Billing & Cancellations

  • Starter Tier: Offered free of charge with monthly suggestion caps and listing limits.
  • Pro & Agency Tiers: Paid recurring subscriptions billed on a monthly or annual basis. You may cancel your subscription at any time via your account portal. Upon cancellation, your access remains active until the end of the current billing cycle.
  • Refunds: We provide a 7-day money-back guarantee for initial Pro tier purchases if the tool does not meet your expectations.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FlipReply AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF SALES, ACCOUNT SUSPENSIONS BY THIRD-PARTY PLATFORMS, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICE.

7. Modifications to the Service and Terms

We reserve the right to modify or discontinue any feature of the Service at any time. If we make material modifications to these Terms, we will update the version number and date at the top of this document.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law.
